Privacy Contracts -Drafting & Review

Job Description:

LegalEase client is a Data Privacy Management Solutions provider who helps and enable organizations that collect, or process personal information to comply with regulatory expectations and external standards for privacy accountability.

Our client has internal Data Privacy Framework Programs (EU-U.S., Swiss-U.S, and UK Extension to the EU-U.S. Data Privacy Framework) and helps customers to prepare for self-certification with the U.S. Department of Commerce. Client as an outside reviewer will provide privacy certifications to its customers.

This position involves creation and management of privacy-related contracts, agreements, and documents to ensure compliance with data protection laws and regulations.

Key Responsibilities:

  1. Contract Drafting and Review:
    • Draft, review, and revise privacy-related contracts, including data processing agreements (DPAs), data transfer agreements, and vendor agreements, to align with legal and regulatory requirements.
  2. Privacy Compliance:
    • Ensure that contracts and agreements meet data protection and privacy laws, including GDPR, CCPA, HIPAA, and other relevant regulations.
    • Stay current with evolving privacy laws and recommend contract updates to maintain compliance.
  3. Customization and Negotiation:
    • Customize contract templates to meet specific business needs while ensuring privacy compliance.
    • Collaborate with internal and external parties to negotiate contract terms, balancing legal requirements and business objectives.
  4. Risk Assessment:
    • Conduct risk assessments and impact analyses related to data processing and data transfers, advising on necessary contractual safeguards.
  5. Privacy Policies and Procedures:
    • Collaborate with legal and compliance teams to ensure that contract terms align with the organization's privacy policies and procedures.

Candidate Profile

Required Qualifications:

  • Law degree from an accredited law school. Privacy certification is a plus.
  • In-depth knowledge of data protection laws and regulations, including GDPR, CCPA, HIPAA, and relevant privacy frameworks.
  • Proven experience in contract drafting, negotiation, and review, with a focus on privacy contracts.
  • Strong analytical and problem-solving skills.
  • Excellent communication and writing skills.
  • Detail-oriented with a strong commitment to accuracy.
  • Ability to work collaboratively with cross-functional teams.
  • Familiarity with contract management software and tools is a plus.
  • Customer facing skills.
